These Terms and Conditions ("Terms") govern your use of services provided by Northline AI ("Northline AI", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms in full. If you do not agree, do not use the service.
Northline AI provides AI-powered voice receptionist and call-handling services for businesses. Services may include call answering, appointment booking, SMS confirmations, CRM dashboard access, and related automation tools. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice.
By using our services, you confirm that you are at least 18 years old, or are using the service with the written consent of a parent or legal guardian who accepts these Terms on your behalf. Businesses confirm they are legally authorized to enter into this agreement.
Northline AI does not guarantee any specific business outcomes, including but not limited to increased bookings, revenue, call volume, or customer retention. Results will vary based on individual business circumstances.

You use the service entirely at your own risk.
Calls handled by the Northline AI system may be recorded or processed for service functionality and quality assurance. You are solely responsible for ensuring that your customers are informed that their calls may be handled and/or recorded by an automated AI system, in compliance with all applicable Canadian laws.
You agree not to use the service to:
Our services rely on third-party providers including telephony carriers, AI platforms, SMS delivery services, and Stripe for payment processing. We are not responsible for failures, delays, outages, or errors caused by these providers.
All fees are billed as agreed in your signed Service Agreement. Payment is processed automatically via Stripe. All fees are non-refundable except where required by applicable law. Failure to make payment may result in suspension or termination of service. All fees are exclusive of applicable taxes including HST where applicable.
All technology, systems, AI configurations, workflows, prompts, and software used by Northline AI remain our exclusive property. You are granted a limited, non-exclusive, non-transferable license to use the service during the term of your agreement only. You may not copy, reproduce, modify, distribute, or reverse-engineer any component of the service.
To the maximum extent permitted by applicable law, Northline AI shall not be liable for:
Total liability is limited to the fees paid by you in the 3 months immediately preceding any claim, regardless of the form of action.
You agree to indemnify, defend, and hold harmless Northline AI from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, information you provide, interactions with your customers, or any violation of these Terms.
We may suspend or terminate your access to the service immediately if you violate these Terms, fail to make payment, or misuse the system in any way. Termination does not relieve you of payment obligations already incurred.
Your use of the service is also governed by our Privacy Policy. By using the service, you consent to our data practices as described therein.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved exclusively in the courts of Ontario.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
We may update these Terms from time to time. We will provide notice of material changes via email or website posting. Continued use of the service after the notice period constitutes acceptance of the updated Terms.
These Terms, together with your signed Service Agreement and our Privacy Policy, constitute the entire agreement between you and Northline AI and supersede all prior discussions or representations.
